Private-Sector Responsibilities
- Finance and build the demonstration project using a fixed price, fixed time design-build contract
- Take responsibility for, and assume risks associated with the construction, scheduling, budgeting, financing and timely delivery of the project
- Absorb costs for managing, operating and maintaining the facility including routine, preventative and major repairs and capital improvements during the life of the agreement
- Share revenues with state (or public) if the facility’s financial performance exceeds expectations
- Implement congestion toll pricing to ensure free-flow traffic conditions
- Allow free travel for HOV+3, public transit and emergency vehicles
- Assume relevant project risks during life of the agreement
- Return facility in good condition based on standards in effect at the end of agreement
- Develop a traffic management system
- Provide incident response services.

State’s Responsibilities
- Ownership and oversight of facility
- Approval of toll rates
- Auditing of operational and financial performance
- Retain the right to improve adjacent facilities, including I-15 and connecting facilities
- Obtain environmental approvals and acquire needed right of way
- Outreach and communication with the government agencies, key stakeholders and relevant third-parties.

- Remain accessible, transparent and accountable to the community
- Commission traffic and revenue projection studies
- Coordinate emergency services.
